I have practiced law in Eugene, Oregon since 2004. I practice Intellectual Property, Business Law, Civil Litigation, and Employment Law.

A: You would need to determine whether PennyWise's image is in the public domain.
Q. Is it legal for one 50% shareholder in a corporation to sell off all of the assets without letting the other know
A: The asset sale is seemingly unauthorized under ORS 60. The corporation's Bylaws would also likely prohibit the action as described.
