Carl Werner

Carl Werner is a seasoned transactional attorney and Chair of the Corporate Department at Harris Sliwoski. He counsels a diverse range of clients in emerging industries—including cannabis cultivators and cryptocurrency miners—guiding them through complex transactions in highly regulated and often uncertain legal environments across the U.S. and internationally. His practice centers on startup ventures, company financings, mergers and acquisitions, and other key transactional matters.

Before joining Harris Sliwoski, Carl was a partner at Vicente LLP in Denver, Colorado, where he spent eight years managing transactional work in emerging regulated industries, particularly cannabis, hemp, and psychedelics. He also has extensive experience advising tech startups, especially in the healthcare and Web3 sectors. His clients range from early-stage startups to billion-dollar enterprises spanning nearly every continent.

Beyond transactional law, Carl regularly advises clients on risk assessment for novel business ventures. He is recognized for his pragmatic approach, combining deep legal expertise with strong business insight to deliver clear, practical guidance.
