I am a Business Lawyer and Attorney based in Texas, where I have been practicing law for 38 years, primarily as a solo attorney. My practice, Thomas P. Finley, Jr. Attorney at Law, is dedicated to assisting clients with various aspects of business and commercial litigation, reviewing business contracts, and guiding them through the process of starting a new business.

My extensive experience as a business owner provides me with a unique perspective on the challenges and legal issues that businesses encounter. My practice areas include business formation, handling business contracts, overseeing business acquisitions, assisting with the buying and selling of businesses, dealing with commercial real estate, and representing clients in business litigation.

I handle each case with the same level of commitment and ethical standards that I would expect if I were in my clients' shoes.

Q. Confidentiality clause risks in proposed business contract.
A: Great question! The answer you seek primarily relies on whether the clause in the proposed contract is reasonable in scope and the information that the LLC seeks to protect qualifies as confidential or a trade secret. General knowledge, skills, and experience acquired is not enough as long as it is used fairly and legally. Things like customer lists, pricing information, and market strategies may be considered confidential if they are not generally known and provide a competitive advantage to the LLC employer.
