Attentive, reliable, transparent

For start-ups and small businesses, I help ensure a smooth transition through the start-up, growth, or exit stage of the business cycle. As a lawyer for entrepreneurs, I strive to be efficient and reliable. I care about building healthy relationships with all of my clients and place communication as a top priority.

Both the start-up and small business scenes in Colorado are thriving and your business needs skilled legal representation to ensure success. As a business owner myself, I relate to the entrepreneurial mindset and understand the effort it takes to start, run, and grow a business. Therefore, I will treat my client's legal needs with dedication and precision.

I believe in being as transparent as possible when it comes to billing. I offer flat-fee rates whenever possible and communicate at every step. My clients know exactly what they are paying for and how much it costs.

My practice areas include:

• Mergers & Acquisitions
• Business Formations
• Commercial Transactions
• Partnership and Shareholder Disputes
• Dissolutions
• Contract Drafting and Review
• Real Estate

On the weekends, you can find me watching my favorite soccer team, Liverpool FC, spending time with my family & friends, or trying new restaurants. I love the work that I do and put significant effort into my business, but I also have hobbies and passions outside of work that I make time for.

3 Questions Answered
Q. Is a hold harmless agreement that says heirs can't sue legally binding on heirs who have not signed it?
A: Yes this is common language in releases and in the indemnification context. This would probably prevent the heirs from having a claim. You can agree to release someone from a claim by you and your heirs.
Q. Regarding LLC's and "personal" liability umbrella policies
A: Hi there, generally your personal liability policy is not going to cover the properties owned by the LLC given that the LLC is not the insured on the policy. You would need to read the policy to be certain. An umbrella policy for all of them could be a solution if there was adequate coverage and each LLC was insured. This would not defeat the limited liability protection that comes with LLCs.
Q. Business operating agreement
A: Hi there, this can and does happen. There are some mechanisms through which you can amend these percentages. You also need to consider if the business is generating any revenue/what assets it owns to avoid any unintended tax consequences. Please reach out if you would like to discuss further.
