I graduated from the University of Puerto Rico School of Law and hold a Master's Degree in Taxation (LL.M.) from the University of Florida. I also served as Deputy Secretary of the Treasury. My practice has been focused on representing clients in various commercial and investment transactions. These include commercial and residential closings, business contracts, mergers and acquisitions, reorganizations, financing, general corporate and tax matters, probate, and business planning.
REPRESENTATIVE MAYOR TRANSACTIONS
• Borrower´s counsel for a Puerto Rico-based grocery chain company in structuring a $42 million commercial mortgage-backed securities mortgage loan on commercial real estate assets.
• Closing attorney for transfer of Parcels 1 and 2 of Roosevelt Road to Local Redevelopment Authority for Naval Station Roosevelt Roads.
• Loan closing attorney for SBA loans under SBA 504 Loan and 7 (a) Programs.
• Lead counsel in obtaining tax ruling for the first tax-exempt individual retirement account in Puerto Rico for Banco Popular of Puerto Rico.
• Prepared multiple private placement memorandums for deals involving healthcare groups, the latest one in 2017-23.
• Legal counsel for management in the first management buy-out of an insurance company completed in Puerto Rico.
• Lead counsel in selling a Puerto Rican health company's local Medicare Advantage health organization for $250 million.
• Tax counsel for a U.S.-based health services organization in the development and construction of a local hospital, financed through a $24 million senior credit facility, secured by The Puerto Rico Industrial, Tourist, Educational, Medical and Environmental Control Facilities Financing Authority (known as AFICA, for its initials in Spanish).
• Lead counsel for the Puerto Rico Teachers’ Retirement Fund in the development and construction of its principal office building, financed through an $18 million senior credit facility, secured by the Puerto Rico Industrial, Tourist, Education
