In partnership with RPC Company, I was a Senior Legal Recruiter, working with full cycle recruiting for legal, administrative and clerical fields, including a targeted search and identification of candidates. I manage commercial leasing and franchising for a 100+ lease multi-concept portfolio and the associated franchises (including development agreements, closure rights and franchisor incentives) in 3 states (restaurants and retail) for this rapidly-expanding restaurant franchisee/real estate investment group (4th largest restaurant franchise group in US). Controlling costs is a large part of this company’s success, so all of my activities are aimed toward that goal. A major and ongoing project I am leading is an investigation to reconcile and recover an estimated $500K in development agreement incentives, including franchise and royalty reductions. Another one is my collaboration with the lead lender to evaluate and attain landlord SNDAs for a $150M syndication loan. Related to the loan, I analyzed and advised General Counsel on the franchise requirements regarding collateralization of loan and subordination issues.

I negotiate with landlords and their representatives and then draft, revise, obtain and process real estate documents for this small-space retailer, in malls and shopping centers in the US and Mexico. I also advise management regarding real estate matters, including leases, subleases, exhibits, addendums, tenant improvement work letters, amendments and extensions. Additional responsibilities include critical analysis/solutions and legal advice related to lease terms and costs, options, real property taxes, insurance responsibilities, environmental compliance, damage and destruction, condemnation/eminent domain issues, maintenance/repair obligations and default/remedy issues for 4500+ US and 200+ Mexican locations. I work closely with the Mexican entity in negotiating leases for new retail locations internationally. In 2012, I processed 200+ US documents (including an average of one new lease per month) and 94 Spanish language leases.

I worked as an adjuster and attorney, specializing in property liability issues in the Latin American market, as well as US/Mexico insurance-related legal research and working with legal teams on both sides of the border to advance client interests. I provided in-house local/international first-line legal evaluation of contract/insurance coverage issues and investigated client claims, through on-site investigations and documentary evidence. My duties included evaluating contract and legal liability of clients and advising/supervising legal defense actions with local counsel for government-owned power companies.
