Biography

My practice is primarily focused on providing legal counsel in the areas of business law and technology law. Armed with the necessary experience to be both practical and creative in helping clients achieve their objectives, I advise clients on all manner of legal matters related to their daily operations, including entity structuring and formation, strategic planning, corporate governance, compliance, and other entity and operational matters. Early-stage companies require business lawyers who can provide practical-to-implement and cost-effective legal advice that is tailored to the businesses risk posture, resources, and unique place on the organizational maturity curve.

The technology side of my practice is focused on matters inherent to the operation and growth of companies engaged in the development and sale of on-prem software, SaaS, and data products and services. The software business generally is highly complex and the legal side of the software business is no exception. Principals and operators of software companies today face a dizzying array of traps for the unwary, each of which can be obviated with aforethought and the right business attorney. We are regularly involved in drafting and negotiating technology-related agreements, including software licenses and development agreements, SaaS agreements, content development agreements, and technology services agreements. We also advise clients on all manner of proposed online ventures and business models, including social networking, blogging, influencer agreements, sponsorship agreements, and related technologies and areas.

Q. Business operating agreement
A: You should have an attorney take a look at the agreement or forms the franchisor has provided. The definition of "operating partner" in those documents would shed light on the potential path(s) forward. With respect to the Operating Agreement, multi-member LLC Operating Agreements often contain "buy-sell" provisions that define the manner in which member interests can be purchased and sold.
